ARTICLE I (NAME)
The name of this organization shall be "The Raymond Sportsman's Club, Inc.
ARTICLE II (PURPOSE)
The purpose of this club shall be to promote Good Sportsmanship among it's members and all other Sportsmen.
ARTICLE III (SLOGAN)
The slogan of this club shall be: "Be a Good Sportsman."
ARTICLE IV (OFFICE)
The principal office of this club shall be located in the Town of Raymond, County of Rockingham, State of New Hampshire.
ARTICLE V (MEETINGS)
| Section 1. | This club shall hold it's annual meeting on the first Wednesda of March of each year, at the clubhouse, at the specified time of the regular meeting. |
| Section 2. | The club shall hold it's regular meeting on the first and thir Wednesdays of each month at the clubhouse, at 7:00 PM. |
| Section 3. | A special meeting may be called at any time by the President, or by the written request of any three (3) members. Any meetin may be omitted by a majority vote of the members present at th meeting prior to the one to be omitted.A written notice or posted notice in the RSC Newsletter of any special meeting and nomination or election to be called shall be mailed to each member in good standing, at their last known address, at least ten (10) days in advance of said meeting. |

ARTICLE VI (OFFICERS)
| Section 1. | The officers of this club shall consist of: 1.
President; 2. Vice-President; 3. Secretary; 4. Treasurer; 5. Sergeant-atArms; 6. Five (5) Advisory Board Members, one (1) to be electe for three (3) years, one (1) to be elected for two (2) years, and three (3) to be elected for one (1) year each. |
| Section 2. | The President, Vice-President, Secretary, and Treasurer of this club shall be given free RSC membership for their term of office, excluding the NRA fee. |
| Section 3. | The officers so elected shall hold their offices for a period of one (1) year, or as designated in their duties, or until their successors are elected and/or qualified, or as provided for in ARTICLE VI, Section 6, or Section 7.The Treasurer of this club will be bonded as may be deemed necessary by a majority vote. The cost of the bond shall be paid by the club. |

| Section 5. | All checks must be signed by the Treasurer, and countersigned by the Secretary or President. |
| Section 6. | Any vacancy among the officers of this club shall be filled by a special election, to be held at the next regular meeting following said vacancy, provided notices are sent out as per ARTICLE V, Section 4. |
| Section 7. | Any officer who fails to attend three consecutive meetings without good cause, or is guilty of misuse of office, or any act that is detrimental to the purpose and good of this club, shall be subject to dismissal from office as per the following procedure. He/She shall be notified in writing by the Secretary at least ten (10) days prior to the next regular meeting, at which time the course of action against him/her shall be determined. If at that time a dismissal is found to be in order, it must be by a majority vote by the secret ballot method. If the officer in question fails to attend the aforementioned meeting, he/she shall be notified in writing in a sealed envelope by the Secretary, immediately following said meeting. |
ARTICLE VII (DUTIES OF OFFICERS)
| Section 1. | President: It shall be the duty of the President
to preside over all meetings. He/she shall have the power to appoint a chairperson
of any committee. He/She shall call special meetings at his/her discretion or upon written request of three (3) or more members, for the purpose of conducting urgent business requiring immediate attention. A quorum shall be necessary to conduct said special meeting.Vice-President: It shall be the duty of the Vice-President of this club to assume the duties of the President in his/her. absence and he/she shall have full power of the president, with the exclusion of signing checks. |

Secretary: It shall be the duty of the Secretary of this club to: 3.Turn over all monies received to the Treasurer. |
| Section 4. | Treasurer: It shall be the duty of the Treasurer of this club
to: 1.Receive all monies and gratuities of the club. 2.Deposit said funds in a bank of the club's choosing. 3.Disburse said funds as directed by the membership. 4.Keep a correct list of all members and their addresses, including date of payment of dues. 5.Maintain a minimum balance of club funds to be held in reserve for projected operating expenses. 6.To keep proper books and/or records and present same to the membership at 1st meeting of every month. |
| Section 5. | Advisory Board: It shall be the duty of the Advisory
Board of this club to: 1. Meet annually with the Treasurer at their mutual convenience to inspect the club's books and/or records, and to report to the membership at the next regular meeting. If the books and/or records are found to be in order they shall be signed by the Advisory Board. 2. Perform such duties as may be referred to it from time to time by the club, or the President, and report to the membership at the regular meetings.Sergeant-at-Arms: It shall be the duty of the Sergeant-atArms of this club to: 1. Maintain order and decorum at the meeting under the direction of the presiding officer. 2. Act as door-keeper. 3. Perform such duties as may be referred to him/her from time to time by the club or, by the President. |

ARTICLE VIII (MEMBERSHIP)

| A. | REGULAR: A Regular Member has been an Associate Memberfor one year, age eighteen (18) or older, and complete 25 hours of service to the RSC with any Active Committee.SENIOR/ASSOCIATE: Age Sixty (60) or over (No voting rights) |

| D. | LIFE: An outstanding member of the R.S.C. To receive this Honor a proposal first must be made to the Advisory Board. The membership will be informed and voting members will decide by a paper ballot vote. |
| E. | ASSOCIATE: An Associate Member is one who has not met the criteria for Regular Membership. In addition, an Associate Member shall have no voting privileges, or hold elected office. |
|

An Associate Member can however, serve on or chair any committee, and may sponsor candidates for Associate Membership. |
|
2.
|
An Associate Member may, after one year, apply for Regular Membership on a first come, first served basis, as memberships become available. All Regular Membership criteria in this article must be met before any application may be accepted for Regular Membership. |
|
3.
|
An Associate membership my be bestowed upon any person for meritorious service to the club. The Advisory Board shall present the name to the membership for a vote. A majority vote of members present shall be required for approval. |
|
F.
|
JUNIOR: Any individual ten (10) thru seventeen
(17) years of age may be eligible for Junior Membership in this club if
properly sponsored. Junior Members shall have no voting rights, cannot sponsor
a candidate for membership, hold an elected office, or have keys to the
club house area or range. However, a Junior Member can be appointed to a
committee. Junior members Advance to Regular Members at age eighteen (18)
if they have been a Junior Member for two (2) years or been a member for
one (1) year and completed twenty-five (25) hours of service to RSC, whichever one comes first. All current Junior Members will be grand fathered and allowed to Advance to Regular at age sixteen (16) if they pay dues accordingly and meet all other criteria stated in these bylaws. HONORARY: Given for special reasons (No voting Rights) To receive this Honor a proposal first must be made to the Advisory Board and voted on by all officers of the RSC. If approved by the Officers of the RSC, the membership will be informed and voting members will decide. Honorary members do not pay dues and do not have to be NRA members. Honorary memberships will be reviewed during the first meeting in April of each year. |

Section 2.
|
MEMBERSHIP CRITERIA Any person ten (10) years or older may be eligible for membership. This club shall limit subscription to 100 voting members. When we reach this 100 members, members will go on a waiting list according to seniority based on when they joined RSC, to advance, as openings become available. It shall be the duty and obligation of each member of this club to attend, whenever possible, all meetings, to take part in all business transacted at said meetings, to pay dues, and aid in the promotion of the purpose for which this club was formed. |

MEMBERSHIP PROCEDURES Junior and Associate Members: Following Advisory Board review of all initial Junior and Associate Membership applications, voice vote will be called for by the presiding officer. Regular Members: To Advance from Junior or Associate requires an updated application (no fee) and standard voting procedure apply. Membership PrivilegesA member may use all outdoor facilities and clubhouse of t Club except when restricted by an approved function. Rules of individual committees shall apply. |

Section 4.

ARTICLE IX (DUES)
|
Section 1A.
|
Starting April 2008 Dues will be adjusted annually
based on previous year operating Cost for Associate & Regular Membership. The dues for Sr/Reg or Sr/Assoc Members shall be Fifty Precent (50%) of Regular Dues per year. Junior Members Shall Pay No Dues. |
|
|
Section 1B.
|
Membership dues for Regular, Senior, and Associate Members will be accepted only if one of the conditions are met: | |
|
A.
|
Proof of NRA Membership is provided, or; | |
|
B.
|
They can join the NRA through RSC for Ten/Thirty-Five Dollars ($10.00/$35.00) yearly NRA fee at same time they join the RSCMembers who choose not to join the NRA will pay the normal Thirty-Five($35.00) NRA annual Fee to the RSC General Fund to help offset the cost of Insurance. | |

New Life members as of January 2003 will pay NRA dues. | |
|
Section 2.
|
Dues of this club shall be payable on April 1 of each year. | |
|
Section 3.
|
If dues are not paid within (30) days, notice shall be posted in the May issue of the RSC Newsletter, and the member shall then have until. May 31 in which to payor membership will be cancelled. A Fifteen ($15.00)re-activation fee will apply after May 31. | |
|
Section 4.
|
The dues of any member leaving this organization to enter the Active Armed Services will be complimentary until sixty (60) days after discharge. | |
|
Section 5.
|
Annual dues will be paid in person to the Treasurer at the Club house. Exceptions to this section will be considered on an individual basis, when made in writing to the Treasurer. | |
| Section 6 | Regular & Associate Members shall pay a Twenty
Five dollar ($25.00) Deposit at the time Dues are due. Serve Twelve Hours (12hrs.) to the Raymond Sportsman's Club per calendar year your deposit will roll over, or pay another Twenty Five dollars ($25.00). Exempt from above are Elected Officers, Committee Chairpersons, Junior and Life members.Other exceptions will be considered on a case by case bases. |

BY-LAW Committee: The BY-LAW Committee shall consist of four members. The chairperson will be appointed each year by the elected resident. It shall be the duty of the BY-LAW Committee to: | |

Maintain the By-Laws. | |

Formulate recommended By-Law changes for presentation to the membership. | |
|
3.
|
Perform such duties as may be'referred to it from time to time by the club or by the President. | |
ARTICLE XI (ORDER OF BUSINESS)

Section 1.

The order of business at the annual meeting of this club shall be as follows. (first Wednesday in March): 1. Roll call of Officers. The order of business at the first regular meeting of each month of this club shall be as follows: (first Wednesday of each month) : 1. Roll call of officers. |

ARTICLE XII (AMENDMENTS)

ARTICLE XIII (BIDS AND CONTRACTS)
|
Section 1.
|
No member or members shall be allowed to profit
from the Raymond Sportsman's Club unless it is through a bonafide contract. Any project costing in excess of One Thousand Dollars ($1000) shall be subject to at least three (3) bids. Upon selection and acceptance of a bid, there shall be a written contract stating all terms. Said contract shall be subject to review and acceptance by the membership. (provid notice is given as in Article V, Section 4).Any project costing less than One Thousand Dollars ($1000) shall be subject to the above rules with the exception of t bids. However, persons responsible for projects such as Chairpersons, club officers, etc., shall provide the Treasu with itemized bills and receipts for ALL expenditures. |
|

Section 3.

Any member who volunteers their labor and/or equipment for project shall not,be required to submit a bid or contract. He/She may request reimbursement for their actual expenses providing they can show receipts for same, and providing th expenditures have been accepted by the membership. No labor equipment charges will be allowed in this section. |
ARTICLE XIV (CLUB PROPERTY)
|
Section 1.
|
Any member found guilty of stealing or willfully destroying club property shall be expelled from membership. Legal acti may be initiated to recover the value of the loss. |
ARTICLE XV (VOTING PROCEDURES)
|
Section1 .
|
The President shall appoint an Election Committee at the fi
meeting in February. This committee shall consist of at lea five members,
with two as alternates, and shall conduct and oversee all nominations and
balloting. This committee shall serve for one year. |
|
Section 2 .
|
Nominations of officers shall be held at the first meeting February of each year or from the floor at the annual meeting.In order to be nominated, the member must be present and make known his/her acceptance or refusal. |
|
Section 2a.
|
|
|
Section 2b.
|
All nominees for elected office of this club shall have bee a voting member for at least Ohe year immediately preceding said nomination and have served on at least one committee. |
|
Section 3 .
|
The officers of this club shall be elected separately at th annual meeting. After final nominations of officer or officers, voting shall take place by secret ballot. All vot will be counted. In the event of a tie, only candidates tha are tied will be voted on again to break the tie. |
|
Section 4 .
|
The President may call upon the Secretary to cast one ballot in the event of a single nomination. |
|
Section 5 .
|
Membership advancement shall be determined by a majority vote. Only voting members are eligible to vote on candidates. The President shall present the results to the members. |
|
Section 6 .
|
Any member present may request to inspect the ballot results before they are destroyed. |
|
Section 7 .
|
Upon completion of balloting, the ballots shall be destroyed. |
|
Section 8 .
|
A one third (1/3) negative vote constitutes rejection of a candidate. |
|
Section 9 .
|
A rejected candidate cannot re-apply for regular membership for at least one (1) year. |
ARTICLE XVI (PROCEDURES/DEFINITIONS)

Section 1.
|
Procedures: The rules of parliamentary procedure as comprised
in ROBERT'S RULES shall govern the club in all cases to which they are applicable,
and in which they are not inconsistent with the By-Laws. |
|
|
Section 2.
|
Definitions: |
A. The Executive Committee shall consist of all
elected officers.B. The club Newsletter shall serve as the official notification to the membership. |
| C. Notifications of policy, which are signed by the officers of the club, and posted, shall be binding to all persons using any of the club facilities. | ||
ARTICLE XVII (AWARDS)
|
Section 1.
|
Cote Margaritis Award: This award is given to an outstanding member of the RSC. Any member can recommend a member for this award to the Advisory Board. This award will be discussed and decided by all five (5) Advisors of the RSC. |
ARTICLE XVIII (DISSOLUTION)
| Disposition of Assets: In the event that The Club is dissolved and ceases to exist for it's stated object and purpose, a certification of dissolution shall be filed with the New Hampshire Secretary of State upon the resolution of the governing body according to the laws of the State of New Hampshire. The property and assets of The Club, after paying or making provisions for the payment of all of the liabilities of The Club, shall revert upon dissolution to a New Hampshire organization(s) exempt from taxation under Section 501-C of the Internal Revenue Code which has a purpose most nearly consistent with the purpose and object of The Raymond Sportsman's Club. The decision of which organization(s) will receive the donation shall be determined by those voting to dissolve The Club. |
